Terms and Conditions
1. Introduction
These Terms and Conditions govern all services provided by Reblex Photography Pty Ltd (“Reblex”). By accepting any quotation, proposal, or invoice issued by Reblex, the Client acknowledges and agrees to these Terms and Conditions in full, forming a binding agreement between both parties.
2. Definitions
“Reblex” refers to Reblex Photography Pty Ltd.
“Client” refers to any individual or entity engaging Reblex for services.
“Content” refers to all photographs, video footage, audio recordings, edits, colour grades, graphics, and any other media captured or created by Reblex, whether delivered or not.
3. Scope of Engagement
The scope of work will be defined in a written proposal, quotation, or agreement.
Any services requested outside the agreed scope will be quoted and billed separately.
Reblex operates as a creative partner and reserves the right to interpret briefs in alignment with its professional and artistic standards.
4. Investment and Payment
Fees are outlined per project and are exclusive of VAT unless stated otherwise.
A non-refundable deposit may be required to secure booking dates.
Full payment is required prior to the release of final deliverables unless otherwise agreed in writing.
Reblex reserves the right to withhold delivery of any content until all outstanding amounts have been settled.
5. Intellectual Property and Ownership
All Content, including raw footage, unedited material, project files, and final deliverables, remains the exclusive property of Reblex Photography Pty Ltd, including all intellectual property rights.
This applies equally to photography and videography services, regardless of format, platform, or usage.
The Client is granted a limited, non-exclusive, non-transferable license to use the final delivered content strictly for the purposes agreed upon in writing.
Reblex retains full and unrestricted rights to:
Use, publish, and distribute the content across all platforms
Showcase the work in portfolios, marketing campaigns, case studies, and awards
Adapt, re-edit, or repurpose the content at its discretion
Unless explicitly agreed otherwise in writing, ownership of content is never transferred.
The Client may not:
Sell, sublicense, or provide the content to third parties
Alter, edit, or manipulate the content
Use the content beyond the agreed scope
6. Usage and Licensing
Usage rights are defined per project and may include platforms such as social media, websites, or internal use.
Any extended usage, including paid media, broadcast, national campaigns, or third-party distribution, requires prior written approval and may incur additional licensing fees.
7. Creative Direction
Reblex retains full creative direction across all stages of production, including shooting, editing, and final delivery.
The Client acknowledges and trusts Reblex’s expertise in delivering work that aligns with its signature style and quality standards.
8. Delivery and Turnaround
Delivery timelines will be communicated per project and are subject to workflow, project complexity, and external factors.
Final deliverables will only be released once all payments have been received in full.
9. Revisions
A reasonable number of revisions may be included as defined in the project agreement.
Additional revisions beyond the agreed scope will be billed at Reblex’s standard hourly rate.
10. Cancellations and Scheduling
Deposits are non-refundable and secure production time and resources.
Rescheduling is subject to availability and must be requested in advance.
Late cancellations may be subject to additional fees to cover allocated time and preparation.
11. Liability and Force Majeure
Reblex will take all reasonable care to deliver services at the highest professional standard.
Reblex shall not be held liable for delays or non-performance caused by circumstances beyond its control, including but not limited to weather conditions, equipment failure, or unforeseen events.
Liability is limited to the value of the services rendered.
12. Client Responsibilities
The Client is responsible for securing all necessary permissions, access, and releases required for the production.
The Client must ensure that all relevant stakeholders are informed and available as needed.
Clear and timely communication is required to ensure successful project delivery.
13. Credit and Attribution
Reblex reserves the right to request appropriate credit where content is published.
Credit format may vary depending on the platform and context.
14. Confidentiality
Both parties agree to maintain confidentiality regarding any sensitive information shared during the course of the project, unless otherwise agreed.
15. Governing Law
This agreement is governed by the laws of the Republic of South Africa.
16. Raw Material and Project Files
Unless explicitly agreed in writing, raw footage, unedited images, and project files are not included in the deliverables.
Access to or purchase of raw material may be quoted separately at Reblex’s discretion.
Reblex reserves the right to determine what constitutes final deliverables.
17. Final Note
Reblex operates on a foundation of trust, creativity, and long-term partnership. These terms are designed to protect the integrity of the work while ensuring the Client receives high-quality, impactful content.
